Job Summary

We are seeking a motivated Senior Assistant Company Secretary to join our busy FTSE 100 secretariat team.

The role will be working as part of the company secretarial team, which sits within the wider Taylor Wimpey legal team, to ensure the company, its directors and employees comply with applicable laws and regulations and maintains its high standards of corporate governance. The department acts as a point of communication between the board of directors, company shareholders, and senior leadership team, meaning the ability to deal with a variety of stakeholders at all levels is key. The Senior Assistant Company Secretary assists the Deputy Company Secretary in the day-to-day delivery of company secretarial services and support to the plc Board of Directors and the wider Taylor Wimpey Group.  

Please note: this is a temp role covering for Maternity. 

Primary Responsibilities

Corporate governance

Draft governance papers for Board and Committee meetings and review those prepared by CSA and Graduate.
Act as secretary to, attend and minute the Operational Management Team meeting. plc matters

Draft sections of the plc Annual Report and Accounts; and review other sections of the Annual Report and Accounts drafted by the CoSec team.
Manage the planning and arrangements for the Annual General Meeting including preparation of the AGM packs for the Board, and manage the post-AGM actions. Share schemes

Manage the Executive Share Plans (Performance Share Plan, Executive Incentive Scheme) and liaise with the Reward team on the Medium Term Incentive Plan and Restricted Stock Units.
Manage external service provider for TW Employee Benefit Trust (Apex).
Manage the Employee Benefit Trust (EBT) share movements (e.g., share exercises, transfers, DRIP shares), dividends to EBT participants and monitor availability of shares for future share awards and exercises.
Prepare and release RNS announcements as necessary in respect of the above.
Oversee and work with the CSA on the annual Sharesave invitation and annual bonus shares process.
Liaise with share scheme administrators and Tax team on the annual HMRC share scheme returns. Insurance

Support Deputy with Group insurance arrangements including the annual insurance renewal.
Liaise with insurance broker and the business as necessary regarding insurance queries.
Monitor the Reversionary Freehold Premium position and implement the recovery process, if required. Subsidiary management

Lead from a Company Secretariat perspective on simplifying the Taylor Wimpey corporate structure.

Act as Director or Company Secretary of a variety of subsidiaries and JVs within the Group, ensuring accounts are prepared and filed.
Liaise with Legal and Finance teams to maintain list of subsidiaries and management companies.
Work closely with external auditors on their audit of plc and relevant subsidiaries. Departmental matters

Assume responsibilities of Deputy in their absences (cover/continuity/disaster planning).
Support and develop the CSA and Graduate

Experience, Qualifications, Technical Requirements

Qualification under the Chartered Governance Institute
Experience working in a listed plc CoSec team
Executive and All-employee share scheme experience
Organised approach to ensure statutory and regulatory obligations are met in a timely fashion across a large number of Group entities
Effective management, communication and service development skills, to manage external service providers
Good communication skills and ability to work with other TW Departments and external service providers
Corporate simplification / rationalisation experience
