is looking for a
Qualified Commercial Lawyer
to join our dynamic and fast-paced, global legal team. The main focus of this role will be the support of our Sales Team with negotiations, review and drafting of contractual documents for customers, vendors and Mimecast partners, primarily in the UK but with a mixed workload providing general in-house legal support in this region and globally.
As a key member of the legal team, you’ll need strong analytical skills, the ability to assess and mitigate contractual risk, excellent communication skills and the ability to work to a high standard within tight deadlines. It’s an energetic, solution driven environment and you’ll be required to negotiate contracts with customers from many different industry sectors. You’ll work alongside and advise key stakeholders and business partners across the company including sales, marketing, finance, engineering and customer operations. The successful candidate will have a can-do attitude and flexible approach.
What You'll Do:
Review, negotiate and advise upon commercial contracts including:
Non-Disclosure Agreements
Software Services Agreements (as Vendor and as Customer)
Data Processing Agreements (and local applicable Data protection laws)
Channel Partner Agreements (Reseller, MSP, Distribution)
Technology Alliance Agreements
Software License Agreements
Provide legal advice to commercial transactions and contract-related issues
Assist with the submission of responses to Requests for Information/Requests for Proposals, relating to both public and to private sector entities
Draft contractual provisions and standard terms
Advise on anti-trust and competition law requirements
Review and updating contractual templates and maintaining version control
Assist with contractual policy and process development
Formatting, proofing and finalising contractual documentation and managing the appropriate signature process
Legal research and analysis
Provide Mimecast internal legal training, supporting legal operations initiatives and representing the legal team in cross-functional project meetings
Assisting with legal due diligence and other ad-hoc corporate matters
What You'll Bring:
A minimum of 3 years post qualification experience, working within the technology (preferably SaaS) space negotiating, drafting, and advising on commercial contracts
Experience of Data Protection Law
Ability to communicate clearly and effectively with internal and external stakeholders
Sound analytical skills and attention to detail
Ability to work autonomously with initiative and confidence and also as part of a team
Ability to demonstrate sound commercial acumen and recognize and balance risk appropriately
Be able to prioritize effectively and adapt to changing priorities
Additional Advantageous Skills and Experience:
Data Privacy qualifications from the International Association of Privacy Professionals or similar association
Fluency in another European language
Experience within a global company with quarterly targets
Qualifications:
UK qualified Solicitor, Barrister or Chartered Legal Executive with current practising certificate.
